Atlayo Software Licence and Terms of Service

Thank you for using Atlayo. These Terms govern your download, installation and use of the Atlayo client software and related services. Please read them carefully. If you do not agree, do not use Atlayo.

1. Parties and scope

1.1 These Terms are a contract between you (“you” or “User”) and Atlayo Overseas s.r.o., company ID 29645433, VAT ID CZ29645433, registered in the Commercial Register kept by the Regional Court in Brno, file C 152275, with registered office at Příkop 843/4, Zábrdovice, 602 00 Brno, Czech Republic (“Atlayo”, “we”, “us”). Atlayo Overseas s.r.o. is part of the Atlayo group; the parent company is Atlayo spol. s r.o.

1.2 These Terms apply to the Atlayo mobile application (Android), desktop clients (Windows and Linux), Atlayo ID, chat, voice and video calling, contact sharing, location features, the Compass mini-app marketplace, optional saved payment cards, and any other features we make available (collectively, the “Service”).

1.3 If you are located in the European Union or European Economic Area, the EU / EEA Jurisdiction Addendum also applies to you. In case of conflict between these Terms and mandatory local law, mandatory law prevails.

1.4 We may publish additional rules for specific features (for example, saved payment cards or mini-app payments). Once published, those rules form part of these Terms.

2. The Service

2.1 Atlayo is a cross-platform communication and lifestyle platform. Core features include instant messaging, group chats, voice and video calls, contact management, QR and NFC sharing, optional live location sharing, optional saved payment cards for autofill (not a wallet or balance account), and access to third-party mini-apps through Compass.

2.2 We may add, change or remove features. Where a change materially affects your rights, we will notify you in the app or by email where appropriate.

2.3 You are responsible for internet access, device compatibility and any charges from your network operator.

3. Software licence

3.1 Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive and non-transferable licence to install and use the Atlayo client software on devices you own or control, solely to access the Service.

3.2 You may make one backup copy for personal use. You must not remove copyright notices.

3.3 You must obtain the software only from official Atlayo channels or authorised distributors. We are not responsible for unofficial copies.

3.4 We may release updates automatically. Older versions may stop working when required for security or compatibility.

3.5 Except as expressly permitted, you must not reverse engineer, decompile, modify, rent, sell or distribute the software, or use unauthorised plugins or automation tools to access the Service.

4. Accounts

4.1 You need an Atlayo account to use most features. Registration requires a valid mobile number or approved sign-in method and compliance with our Account Usage Standards.

4.2 Account ownership remains with Atlayo. You receive a personal right of use only. You must not sell, lend, transfer or share your account except as we expressly allow.

4.3 You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@atlayo.com if you suspect unauthorised access.

4.4 You must provide accurate information and must not register accounts in bulk, impersonate others, or circumvent security or verification measures.

4.5 If an account is inactive for an extended period, we may reclaim the Atlayo ID after reasonable notice.

4.6 Users under 16 in the EU/EEA may use the Service only with verifiable parental or guardian consent as described in our Children's Privacy Statement.

5. Personal data

5.1 Protecting personal data is a core principle of Atlayo. Our Privacy Policy explains what we collect, why, how long we retain it, and your rights under GDPR and other applicable laws.

5.2 By using the Service, you acknowledge that certain features require specific permissions (for example, camera, microphone, contacts, location, NFC). We request permissions only when needed for a feature you choose to use.

6. Saved payment cards

6.1 You may optionally save a credit or debit card in the Atlayo app. Saved cards are tokenised by our payment infrastructure partner — we do not store full card numbers and Atlayo does not operate a wallet, stored balance, peer-to-peer payments, or any “Atlayo Pay” payment brand.

6.2 Mini-apps in Compass may request access to your saved card only for autofill at checkout, and only after you grant explicit permission on the permission screen. Atlayo does not process purchases in mini-apps; each mini-app uses its own payment provider under that developer’s terms.

6.3 You may remove saved cards at any time in Settings. Misuse of saved card data (for example, charging without consent or sharing tokens outside approved APIs) is prohibited and may result in account suspension.

7. Mini-apps and third parties

7.1 Mini-apps in Compass are provided by independent developers. Their privacy practices and terms are their responsibility, although we require developers to comply with our Developer Platform Terms and Operation Rules.

7.2 When you open a mini-app, we may share data with the developer only after you grant permission on the permission screen. You can review and revoke permissions in Settings.

7.3 We do not guarantee third-party content, availability, security or accuracy. Your relationship with a developer is directly with that developer.

8. Acceptable use

8.1 You must comply with these Terms, our Account Usage Standards, and applicable law.

8.2 You must not use the Service to distribute malware, spam, illegal content, hate speech, non-consensual intimate imagery, fraud, or content that infringes intellectual property or privacy rights.

8.3 We may remove content, restrict features, suspend or terminate accounts, and cooperate with authorities where required by law.

9. AI features

9.1 Some features may use artificial intelligence to generate or transform content. AI output may be inaccurate or incomplete. It is for personal reference only and does not constitute professional advice.

9.2 You must not use AI features to create unlawful, deceptive or harmful content, or to circumvent safety controls. Where required by law, AI-generated content may be labelled.

10. Intellectual property

10.1 Atlayo, its logos, software and platform content are owned by Atlayo or its licensors. These Terms do not transfer any ownership to you.

10.2 You retain ownership of content you create, but grant us a worldwide, non-exclusive licence to host, store, transmit and display it as needed to operate the Service.

11. Liability and disclaimers

11.1 The Service is provided on an “as is” and “as available” basis. We use reasonable efforts to keep it secure and available but do not guarantee uninterrupted or error-free operation.

11.2 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or fraud.

11.3 Subject to section 11.2, we are not liable for indirect, incidental, special or consequential damages, loss of profits, data or goodwill, except where mandatory consumer law provides otherwise.

11.4 If you are a consumer in the EU/EEA, you benefit from mandatory consumer-protection rights in your country of residence.

12. Suspension and termination

12.1 You may stop using the Service at any time and may request account deletion in Settings or via privacy@atlayo.com.

12.2 We may suspend or terminate access if you materially breach these Terms, if required by law, or if continued provision would create risk to users or the platform.

12.3 On termination, your licence ends. We may delete or anonymise data according to our Privacy Policy and legal retention obligations.

13. Governing law and disputes

13.1 These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-law rules.

13.2 If you are a consumer in the EU/EEA, you may also bring claims in the courts of your country of residence. You may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13.3 We are not obliged to participate in alternative dispute-resolution proceedings before a consumer arbitration board, but we will consider reasonable requests.
